LIEFERBEDINGUNGEN<\/p>\n<p>F\u00fcr unsere Verk\u00e4ufe gelten stets die nachstehenden allgemeinen Lieferbedingungen. Sondervereinbarungen gelten nur, soweit wir sie schriftlich best\u00e4tigt haben. Das gilt auch f\u00fcr von unseren Bedingungen abweichende Bedingungen in Bestell- oder Best\u00e4tigungsbriefen des K\u00e4ufers, die vor oder nach Absendung unserer Best\u00e4tigungsbriefe bei uns eingehen. Die Preise verstehen sich, wenn nichts anderes angegeben, stets ab Werk. Unsere Vertreter, Agenten und Reisenden haben keine Abschlussvollmacht.<\/p>\n<p>2. ERF\u00dcLLUNGSORT UND GEFAHR\u00dcBERGANG<\/p>\n<p>Erf\u00fcllungsort f\u00fcr Lieferung und Zahlung ist Kempen. Die Lieferung erfolgt ab Lager an die vom Kunden angegebene Adresse. Die Gefahr geht mit \u00dcbergabe an den Transportdienstleister auf den K\u00e4ufer \u00fcber.<\/p>\n<p>3. VERPACKUNG UND VERSAND<\/p>\n<p>Wir liefern unverpackt oder mit unseren Standardverpackungsmaterialien, sofern der K\u00e4ufer keine besonderen Verpackungsvorschriften gemacht hat. Ma\u00df- und Gewichtsangaben sind ann\u00e4hernd und unverbindlich. Die Lieferung erfolgt gegen eine Verpackungs- und Versandkostenpauschale, die gesondert ausgezeichnet ist.<\/p>\n<p>4. TRANSPORTSCH\u00c4DEN<\/p>\n<p>Werden Produkte mit offensichtlichen Transportsch\u00e4den geliefert, hat der Kunde diese sofort beim Zulieferer zu reklamieren und PVA Schwimmerventile GmbH zu informieren. Eine unterlassene Meldung kann Anspr\u00fcche gegen Transportunternehmen und PVA Schwimmerventile GmbH beeintr\u00e4chtigen. Der Kunde hilft hierbei bei der Durchsetzung der Anspr\u00fcche von PVA Schwimmerventile GmbH gegen Frachtf\u00fchrer und Transportunternehmen. Anspr\u00fcche \/ M\u00e4ngel, die nicht bei der Warenannahme gemeldet sind, k\u00f6nnen sp\u00e4ter nicht geltend gemacht werden.<\/p>\n<p>5. LIEFERFRISTEN UND H\u00d6HERE GEWALT<\/p>\n<p>Wir bem\u00fchen uns, vereinbarte Liefertermine einzuhalten. Bei Verzug kann der K\u00e4ufer nach angemessener Nachfristsetzung vom Vertrag zur\u00fccktreten. Weitergehende Anspr\u00fcche, insbesondere Schadenersatz, sind ausgeschlossen. Ereignisse h\u00f6herer Gewalt, Betriebsst\u00f6rungen, Streiks, Rohstoffmangel oder Krieg berechtigen uns, die Lieferverpflichtung auszusetzen oder vom Vertrag zur\u00fcckzutreten.<\/p>\n<p>6. ZAHLUNGSBEDINGUNGEN UND VERZUG<\/p>\n<p>Zahlungen sind innerhalb von 30 Tagen nach Rechnungsdatum ohne Abzug zu leisten. Skontoabz\u00fcge bed\u00fcrfen einer schriftlichen Vereinbarung. Bei versp\u00e4teter Zahlung werden Verzugszinsen in H\u00f6he von 9 % \u00fcber dem Basiszinssatz (\u00a7 288 BGB) f\u00e4llig. Die Preise verstehen sich in EURO.<\/p>\n<p>7. PREISANPASSUNG<\/p>\n<p>Sollten sich nach Vertragsschluss Produktionskosten, Materialpreise oder Transportkosten erheblich \u00e4ndern, behalten wir uns das Recht vor, die Preise entsprechend anzupassen.<\/p>\n<p>8. GEW\u00c4HRLEISTUNG UND M\u00c4NGELR\u00dcGEN<\/p>\n<p>Die Ware gilt als vertragsgem\u00e4\u00df, wenn der K\u00e4ufer M\u00e4ngel nicht innerhalb von 5 Arbeitstagen nach Erhalt schriftlich meldet. Ist die Ware mangelhaft, liefern wir Ersatz gegen frachtfreie R\u00fccksendung. Weitere Anspr\u00fcche, insbesondere Schadenersatz, sind f\u00fcr B2B-Kunden ausgeschlossen. F\u00fcr Verbraucher (B2C) gelten die gesetzlichen Gew\u00e4hrleistungsrechte (2 Jahre ab Lieferung).<\/p>\n<p>9. EIGENTUMSVORBEHALT<\/p>\n<p>Die Ware bleibt unser Eigentum bis zur vollst\u00e4ndigen Bezahlung aller Forderungen. Der K\u00e4ufer darf die Ware im regul\u00e4ren Gesch\u00e4ftsbetrieb weiterver\u00e4u\u00dfern, tritt jedoch bereits jetzt die daraus resultierenden Forderungen an uns ab. Ger\u00e4t der K\u00e4ufer in Zahlungsverzug, sind wir berechtigt, noch vorhandene Waren zur\u00fcckzufordern. <\/p>\n<p>Im Falle des Zahlungsverzuges hat auf unser Verlangen der K\u00e4ufer uns sofort eine Aufstellung der noch in seinem Besitz befindlichen, unserem Eigentumsvorbehalt unterliegenden Waren sowie ein Verzeichnis der nach vorstehenden Bestimmungen uns zustehenden Forderung an seine K\u00e4ufer unter genauer Angabe der Anschriften der K\u00e4ufer, der H\u00f6he der einzelnen Forderungen, der Daten der Lieferung der Verfalltage zu \u00fcbersenden. Der K\u00e4ufer darf dann die noch vorhandenen Waren nicht weiterver\u00e4u\u00dfern, sondern muss sie uns sicherungshalber frachtfrei zur\u00fccksenden. Zahlungen seiner Kunden aus Lieferungen unsere Ware darf er nicht mehr annehmen und muss die Schuldner anweisen, an uns zu zahlen.<\/p>\n<p>10. BONIT\u00c4TSPR\u00dcFUNG UND SICHERHEITEN<\/p>\n<p>Erhalten wir nach Vertragsschluss Hinweise auf eine Verschlechterung der Bonit\u00e4t des K\u00e4ufers, k\u00f6nnen wir Vorkasse verlangen oder vom Vertrag zur\u00fccktreten. Bereits gelieferte Ware kann zur Sicherheit zur\u00fcckverlangt werden.<\/p>\n<p>11. WIDERRUFSRECHT F\u00dcR VERBRAUCHER (B2C)<\/p>\n<p>Verbrauchern steht ein Widerrufsrecht von 14 Tagen gem\u00e4\u00df \u00a7 355 BGB zu. Die Frist beginnt mit Erhalt der Ware. Um das Widerrufsrecht auszu\u00fcben, gen\u00fcgt eine formlose Mitteilung per E-Mail oder Brief. Der Verbraucher tr\u00e4gt die R\u00fccksendekosten.<\/p>\n<p>12. HAFTUNGSBESCHR\u00c4NKUNG<\/p>\n<p>Unsere Haftung ist auf Vorsatz und grobe Fahrl\u00e4ssigkeit beschr\u00e4nkt. F\u00fcr leichte Fahrl\u00e4ssigkeit haften wir nur bei Verletzung wesentlicher Vertragspflichten, jedoch begrenzt auf den vorhersehbaren Schaden.<\/p>\n<p>13. DATENSCHUTZ<\/p>\n<p>Die Verarbeitung personenbezogener Daten erfolgt gem\u00e4\u00df DSGVO. GERICHTSSTAND UND ANWENDBARES RECHT<\/p>\n<p>Gerichtsstand f\u00fcr beide Parteien ist Krefeld. Es gilt deutsches Recht unter Ausschluss des UN-Kaufrechts.<\/p>\n<p>15. DELIVERY CONDITIONS<\/p>\n<p>Our sales are always subject to the following general delivery conditions. Special agreements are only valid if confirmed by us in writing. This also applies to conditions in orders or confirmation letters from the buyer that deviate from our conditions, whether received before or after the dispatch of our confirmation letters. Prices are always ex works unless otherwise stated. Our representatives, agents, and sales staff do not have the authority to conclude contracts.<\/p>\n<p>2. PLACE OF PERFORMANCE AND TRANSFER OF RISK<\/p>\n<p>The place of performance for delivery and payment is Kempen. Delivery is made from our warehouse to the delivery address specified by the customer. The risk is transferred to the buyer upon handover to the transport service provider.<\/p>\n<p>3. PACKAGING AND SHIPPING<\/p>\n<p>We deliver unpackaged or with our standard packaging materials unless the buyer specifies special packaging requirements. Dimensions and weight specifications are approximate and non-binding. Delivery is subject to a packaging and shipping fee, which is specified separately for each delivery.<\/p>\n<p>4. TRANSPORT DAMAGES<\/p>\n<p>If products are delivered with obvious transport damage, the customer must immediately report these to the carrier and inform PVA Schwimmerventile GmbH. Failure to report may affect claims against the transport company and PVA Schwimmerventile GmbH. The customer assists in asserting claims of PVA Schwimmerventile GmbH against freight carriers and transport companies. Claims or defects not reported upon receipt of the goods cannot be claimed later.<\/p>\n<p>5. DELIVERY TIMES AND FORCE MAJEURE<\/p>\n<p>We strive to meet agreed delivery deadlines. If we are in default, the buyer may withdraw from the contract after setting a reasonable grace period. Further claims, particularly damages, are excluded. Events of force majeure, operational disruptions, strikes, raw material shortages, or war entitle us to suspend delivery obligations or withdraw from the contract.<\/p>\n<p>6. PAYMENT TERMS AND DEFAULT<\/p>\n<p>Payments must be made within 30 days of the invoice date without any deductions. Discounts require a written agreement. In case of late payment, interest on arrears of 9% above the base interest rate (\u00a7 288 BGB) will be charged. Prices are in EURO.<\/p>\n<p>7. PRICE ADJUSTMENT<\/p>\n<p>If production costs, material prices, or transport costs change significantly after the conclusion of the contract, we reserve the right to adjust prices accordingly.<\/p>\n<p>8. WARRANTY AND CLAIMS FOR DEFECTS<\/p>\n<p>The goods are deemed to be in accordance with the contract if the buyer does not report defects in writing within 5 working days of receipt. If the goods are defective, we will provide a replacement against return of the defective goods at no cost to the buyer. Further claims, especially damages, are excluded for B2B customers. For consumers (B2C), the statutory warranty rights apply (2 years from delivery).<\/p>\n<p>9. RETENTION OF TITLE<\/p>\n<p>The delivered goods remain our property until full payment of all claims. The buyer may resell the goods in the regular course of business but hereby assigns the resulting claims to us. If the buyer defaults on payment, we are entitled to reclaim any remaining goods.<\/p>\n<p>In the event of default, the buyer must immediately provide us with a list of all goods still in his possession that are subject to our retention of title, as well as a list of claims assigned to us, including customer addresses, claim amounts, delivery dates, and due dates. The buyer may no longer resell the remaining goods and must return them to us at his own expense for security. Payments from his customers for our goods must no longer be accepted; instead, the buyer must instruct the debtors to pay us directly.<\/p>\n<p>10. CREDIT CHECK AND SECURITY<\/p>\n<p>If we become aware of circumstances after the conclusion of the contract that reduce the buyer\u2019s creditworthiness, we may demand advance payment or withdraw from the contract. Already delivered goods may be reclaimed as security.<\/p>\n<p>11. RIGHT OF WITHDRAWAL FOR CONSUMERS (B2C)<\/p>\n<p>Consumers have a right of withdrawal of 14 days in accordance with \u00a7 355 BGB. The period begins upon receipt of the goods. To exercise the right of withdrawal, a simple notification via email or letter is sufficient. The consumer bears the return shipping costs.<\/p>\n<p>12. LIMITATION OF LIABILITY<\/p>\n<p>Our liability is limited to intent and gross negligence. For slight negligence, we are only liable for breaches of essential contractual obligations, but limited to foreseeable damages.<\/p>\n<p>13. DATA PROTECTION<\/p>\n<p>The processing of personal data is carried out in accordance with the GDPR. JURISDICTION AND APPLICABLE LAW<\/p>\n<p>The place of jurisdiction for both parties is Krefeld. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.<\/p>\n<p>15.
